What is a corporate minute book?

Corporate minute books tell the official story of your corporation from its initial setup through to dissolution. It contains the initial incorporation documents as well as details of share transactions, agreements between shareholders, company resolutions, and other important reference documents.

The minute book is an often neglected piece of recordkeeping that is seldom referenced. However, if it is required as part of a due diligence process with a third party it can be expensive and time consuming to re-construct historical records. Keeping up with this small housekeeping item each year makes everyone’s lives easier in the long run when the minute book is needed.
